Parties

These Terms and Conditions govern the provision of services by SSC Global BV (hereinafter 'SSC', 'we', or 'us') to the client organisation or individual (hereinafter 'Client') named in the relevant Statement of Work or engagement confirmation.

Scope of Services

SSC provides behaviour change programmes, coaching interventions, and advisory services to corporate clients and individuals. The specific scope, format, and deliverables for each engagement are agreed in writing prior to commencement ('Engagement Confirmation').

SSC reserves the right to determine the methodology, tools, and approach best suited to deliver the agreed outcomes. Unless explicitly stated in the Engagement Confirmation, SSC does not guarantee specific behavioural or business outcomes.

Engagement Confirmation

No engagement is binding until SSC has issued a written Engagement Confirmation and received acceptance from the Client. Verbal agreements, email exchanges, or discussions with SSC representatives do not constitute a binding contract unless confirmed in writing by an authorised SSC representative.

Fees and Payment

Fees are agreed in writing prior to each engagement. Unless otherwise stated in the Engagement Confirmation:

  • Invoices are issued upon confirmation of the engagement date, or as otherwise agreed.

  • Payment is due within 14 days of the invoice date.

  • All fees are exclusive of applicable VAT, which will be added at the prevailing rate.

  • For international clients, fees are payable in Euros (EUR) unless an alternative currency is agreed in writing.

SSC reserves the right to suspend or cancel engagements where payment is overdue by more than 30 days, without prejudice to its right to recover outstanding amounts.

Cancellation and Rescheduling

Cancellations and rescheduling requests must be submitted in writing to hello@singlesession.online.

  • Cancellations received more than 10 business days before the scheduled engagement date: no charge.

  • Cancellations received 5–10 business days before the scheduled date: 50% of the agreed fee is payable.

  • Cancellations received fewer than 5 business days before the scheduled date: 100% of the agreed fee is payable.

Rescheduling is subject to SSC's availability. SSC will make reasonable efforts to accommodate rescheduling requests, but cannot guarantee availability on alternative dates.

SSC reserves the right to cancel or reschedule an engagement in exceptional circumstances (including illness, force majeure, or circumstances beyond its reasonable control). In such cases, SSC will offer an alternative date or, where no suitable date can be agreed, a full refund of any fees paid.

Intellectual Property

All materials, frameworks, methodologies, tools, documentation, and content developed or provided by SSC in connection with an engagement ('SSC Materials') remain the exclusive intellectual property of SSC Global BV.

The Client is granted a limited, non-transferable licence to use SSC Materials solely for internal purposes within the Client's organisation. SSC Materials may not be reproduced, distributed, sublicensed, sold, or used to train AI systems without SSC's prior written consent.

Any bespoke materials developed specifically for a Client during an engagement remain the property of SSC unless otherwise agreed in writing.

Confidentiality

Each party agrees to keep confidential all non-public information received from the other party in connection with an engagement ('Confidential Information'). This obligation survives termination of the engagement for a period of three years.

Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party prior to disclosure; or (c) is required to be disclosed by law or regulation.

SSC may reference the existence of a client relationship for general business development purposes unless the Client requests otherwise in writing.

Participant Data and Privacy

Where SSC collects or processes personal data of Client employees or participants in the course of an engagement, it does so in accordance with applicable data protection law, including the General Data Protection Regulation (GDPR). SSC's full data processing obligations are set out in the accompanying Data Processing Agreement (DPA), which forms part of this agreement where applicable.

Limitation of Liability

To the fullest extent permitted by law:

  • SSC's total liability to the Client in connection with any engagement shall not exceed the total fees paid by the Client for that engagement.

  • SSC shall not be liable for any indirect, consequential, or special loss, including loss of profit, loss of business, or reputational damage.

  • Nothing in these Terms limits liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

Warranties and Representations

SSC warrants that its services will be delivered with reasonable skill and care by appropriately qualified professionals. SSC does not warrant that services will meet any specific standard not expressly agreed in the Engagement Confirmation.

The Client warrants that it has the authority to enter into this agreement and that participation in SSC's programmes is voluntary for any individual participant.

Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including but not limited to: acts of God, pandemic, civil unrest, governmental action, or infrastructure failure. The affected party shall notify the other as soon as reasonably practicable.

Governing Law and Jurisdiction

These Terms and Conditions are governed by the laws of the Netherlands. Any disputes arising from or in connection with these Terms that cannot be resolved by mutual agreement shall be submitted to the exclusive jurisdiction of the competent courts of the Netherlands.

Amendments

SSC reserves the right to amend these Terms and Conditions from time to time. Updated versions will be published on singlesession.online. For ongoing engagements, the Terms in force at the time of the Engagement Confirmation shall apply unless otherwise agreed.

Entire Agreement

These Terms and Conditions, together with the relevant Engagement Confirmation and, where applicable, the Data Processing Agreement, constitute the entire agreement between the parties in relation to the subject matter. They supersede all prior discussions, representations, and agreements.

This Data Processing Agreement ('DPA') is entered into between SSC Global BV ('Data Processor') and the Client ('Data Controller') named in the relevant Engagement Confirmation. This DPA supplements and forms part of the Terms and Conditions.
